HomeMy WebLinkAbout12-28-98December 28, 1998 9869 Minutes of the special Town Council meeting held December 28, 1998 at 4:00 p.m. in the Council Chambers in the Municipal Building. There were present: Mayor John A. Johnston Council Members: James M. Neblett, Lane R. Penn, Jeffrey S. Worrell, Bettye H. Steger, Joseph L. Weddle, Pauline G. Mitchell, Charles W. Stewart. Absent, Excused: W. Edgar Hale Also Present: Frank Terwilliger, Town Attorney Michael Z. Jenkins, Acting Town Manager Patricia Pendergrast, Clerk Visitors: Michael Dowell Paul Dellinger, Press J. R. Schrader, Press The meeting was called to order at 4:00 p.m. Councilman Weddle led the Pledge of Allegiance and Councilwoman Steger gave the Invocation. Following roll call, Mayor Johnston advised that before Council was discussion of acquisition of real estate by the Town. Town Attorney, Frank Terwilliger stated that before Council were two Ordinances: Ohd 9 8 - 2 6 Ordinance 98-26, authorizing acceptance of a deed of trust and note relating to Maple Shade Shopping P~Sap~.e Shade Plaza on a partial donation and partial purchase basis, and authorizing the incurring of debt for such purchase . And Ordinance 98-27, authorizing the purchase of Pulaski Business Plaza (Maple Shade Ohd 9 $- 27 Shopping Center) and an additional parcel in the same block, shown on the Town tax maps as lots 072- 140-0000-160B, 072-020-000-1. la, and 2 and a r/w with turnaround, all described in DB 465, page 686. Mr. Terwilliger advised that the Town is in possession of a letter from Mr. Earle Greene offering to sell the Maple Shade Shopping Center and a related lot to the Town and a letter from Mr. Richard Earls, President of New River Properties, Inc. to Mr. Greene concurring with that sale. A contract has been mailed to both Mr. Greene and Mr. Earls to be executed and returned to the Town, whereby the Town would obtain the shopping center and the deed of trust and note, part of which would be donated to the Town and part of which would be purchased by the Town in installments. The net cost to the Town would be approximately $200,000. We have received the signed contract from Mr. Greene, but not yet from Mr. Earls. The wording of the Ordinances states that once the contract is received, the McCarthy portion of the transaction will be closed and once title is examined etc., we will purchase the real estate in January. Mr. Terwilliger reviewed some typographical changes to the Ordinances. Councilman Neblett made a motion to adopt Ordinance 98-26 and Ordinance 98-27, with typographical changes, seconded by Councilwoman Steger. Councilman Weddle asked Mr. Terwilliger to review the contents of the two Ordinances. 9870 December 28, 1998 Mr. Terwilliger advised that Ordinance 98-26 authorizes acceptance of the donation, once the signed contract is received from the property owners and obligates the Town to pay $209,000 in four installments at 6% interest, beginning January 15, 1999 and three more installments after that of principal and interest. He advised that Ordinance 98-27 authorizes the Town to consummate the purchase of the real estate in return for forgiveness of the note and the deed of trust, with no cash exchanging hands between the Town and the property owners. Councilman Worrell stated that he wanted to make it clear that all that Council is doing today, is obtaining title to the properly. No use for this property has been decided at this time. Mayor Johnston added that, at this time, the Town is not into the renovation of the property and the Town is under no obligation to do anything further with this property. He stated that the Town is grateful for the gift from the owners and the lien holder and considers it a gift on the part of Council to the Town citizens in the Town that over a period of time, this property can be enhanced in the future. After discussion, Councilman Neblett made a substitute motion to adopt, with typographical corrections, Ordinance 98-26, authorizing acceptance of a deed of trust and note relating to Maple Shade Shopping Plaza on a partial donation and partial purchase basis, and authorizing the incurring of debt for such purchase, seconded by Councilwoman Steger and carried on the following recorded vote: James M. Neblett -Aye W. Edgar Hale -Absent Lane R. Penn -Aye Joseph L. Weddle -Aye Jeffrey S. Worrell -Aye Pauline G. Mitchell -Aye Bettye H. Steger -Aye Charles W. Stewart, Jr. -Aye Councilman Neblett then made a motion to adopt, with typographical corrections, Ordinance 98-27, authorizing the purchase of Pulaski Business Plaza (Maple Shade Shopping Center) and an additional parcel in the same block, shown on the Town tax maps as lots 072-140-0000-160B, 072-020-000-1, lA and 2 and a R/W with turnaround, all described in DB 465, page 686, seconded by Councilman Weddle and carried on the following recorded vote: James M.
