Minutes of the special meeting of the Pulaski Town Council held
October 29, 1990, at 8:00 a.m. in the Council Chambers in the Municipal
Building.
There were present: Mayor Gary C. Hancock, presiding
Council Members: Charles D. Crispin, Mary Lou Copenhaver,
James R. Neighbors, Andrew L. Graham,

Mayor Hancock called the meeting to order.
Councilwoman Holston so moved that Council go into Executive
Session on a legal matter under 2.1-344 A7, seconded by Vice Mayor
Neighbors and carried on the following recorded vote:

CERTI FICATION RESOLUTION
WHEREAS, the Pulaski Town Council has convened an executive meeting
on this date pursuant to an affirmation recorded vote and in accordance
with the provisions of the Virginia Freedom of Information Act; and,
WHEREAS, 52.1-344.1 of the Code of Virginia requires a
certification by this Pulaski Town Council that such executive meeting

was conducted in conformity with Virginia law;
NOW, THEREFORE, BE IT RESOLVED that the Pulaski Town Council hereby
certifies that, to the best of each member's knowledge, (i) only public
business matters lawfully exempted from open meeting requirements by
Virginia law were discussed in the executive meeting to which this
certification resolution applies, and (ii) only such public business
matters as were identified in the motion convening the executive meeting
were heard, discussed or considered by the Pulaski Town Council.
Councilwoman Holston so moved that Council return to

At 10:05 a.m. on motion made by Councilman Crispin, seconded by
Councilman Glenn and carried, Council returned to special session and
waived reading of the Certification Resolution.

Mayor Hancock stated the first item on agenda was an agreement with
the Pulaski County Chamber of Commerce with regard to use of the
Passenger Station upon its completion.

Councilman Glenn so moved that reading of the ordinance be waived,
seconded by Councilwoman Copenhaver and carried.
Councilwoman Holston made a motion that ordinance be adopted,
seconded by Councilman W. H. Schrader.
Councilman Graham stated he would have to vote against this
ordinance as he believed the Chamber of Commerce should be supported
entirely by private funds by the free enterprise system. He further
stated it could run $30,000 to $50,000 per year for Town's
responsibility. Councilman Crispin stated he agreed with Councilman
Graham. His vote in no way is indicative that he does not support the
Chamber of Commerce.
Mayor Hancock stated he felt the majority of Council felt it would
be logical for the Chamber of Commerce to be located in the train
station. Hopefully, if the train station is connected to the New River
Trail State Park, it will be a wonderful idea to have the Chamber of
Commerce there to greet the visitors. Councilwomen Copenhaver and
Holston agreed with Mayor Hancock's statement.

TOWN OF PULASKI, VIRGINIA
ORDINANCE Ordinance appr oving an Occupancy Agreement
Chamber of With the Pulaski County Chamber of Commerce, Inc.

Commerce for the Pulaski Train Station
WHEREAS, the Town of Pulaski has undertaken the renovation of the
Pulaski Train Station to preserve it for the enjoyment and benefit of
future generations; and,
WHEREAS, the Pulaski County Chamber of Commerce, Inc. has need of
office space in a location accessible to the public; and,
WHEREAS, the Town and Chamber find it mutually beneficial for the
Chamber to occupy office space in the Pulaski Train Station; and,
WHEREAS, an occupancy agreement has been prepared setting forth the
terms by which the Town agrees to permit and the Chamber agrees to
accept such occupancy;
NOW, THEREFORE, BE IT ORDAINED BY THE Council of the Town of
Pulaski, Virginia, sitting in special session on October 29, 1990, that
the Mayor be and hereby is authorized to execute a Pulaski Train Station
Occupancy Agreement with the Pulaski County Chamber of Commerce, Inc.,
in substantially the same form as attached hereto, and to so bind the
Town to its terms when the Agreement is also executed by the appropriate
official of the Chamber.
This Ordinance is effective upon adoption and is adopted by
recorded vote of the Town Council of the Town of Pulaski, Virginia, on

Mayor Hancock stated the matter of Jefferson Mills had been
~ discussed.

~ MILLS Vice Mayor Neighbors stated that last week when Council denied to
participate with the County and the IDA to support funds for Jefferson
t Mills, they did so not having some of the information they were looking
r for and some of this information has now come forward. The Town is now
placed into a more secure position with Jefferson Mills. We will be
sharing any lien against real property and Jefferson Mills has presente
a business plan and there will be a payment schedule presented before
final adoption is given. Also, the key employees have taken salary cut
of 10o and commitment has been shown. With the changes in mind, Vice
Mayor Neighbors moved that the Town Manager and Town Attorney work with
Pulaski County and the IDA to bring back an agreement at the next
regular Council session whereby the Town participates in assisting
Jefferson Mills on an approximate equal basis with the County and IDA,
up to a maximum participation of $400,000 in a 5800,000 loan. Motion
seconded by Councilwoman Copenhaver.
Councilman Crispin stated he supported the motion, but would like
to see added that there is some kind of controls placed on the way the
company is managed in the future.
Mr. Terwilliger stated there is a provision in the Town Charter
that no action at a special called meeting of the Town Council can
rescind or reconsider a matter previously voted on by the Council unless
there is at least equal the same amount of members that voted
originally. In this case, we are missing one Council Member. At the
next regular council session, Council can make formal reconsideration of
the entire matter even if there is only a quorum present, the action can
then be taken. But, because today is a special council session, Council
cannot make a binding committment.

At 10:19 a.m. Councilman Glenn made a motion that Council adjourn,
seconded by Vice Mayor Neighbors and carried.

WAIVER OF NOTICE OF SPECIAL MEETING
We, the undersigned, duly elected members of the Council of the Town

of Pulaski, Virginia, hereby waive notice of a Special Meeting of said
Council at 8:00 a.m. on the 29th day of October, 1990, for the purpose
of finalizing the agreement with the Chamber of Commerce.
