RESOLVED, that a contract between the Pulaski
Counts, Inc. and the Town of Pulaski be executed on behalf '
the Town by the Mayor and Clerk as follrnvs : '

THIS MEMORANDUM OF AGREEMENT entered into thi
day of , 1949, by and between the Tow

Town and the Pulaski Counts, Inc., party of the second part
hereinafter referred to as the Counts, for the rights and p
leg!es to use the Torn-owned athletic field, with grandstand
bleachers, buildings and parking areas adjacent to the fiel
not enclosed within the fence, all of these facilities bein
referred to as Calfee Park.
The terms and conditions

shall be as follows:
1. The Town shall initially place in good co:

southeast end of field, grandstands, screening in front of
stand, and bleachers adjoining same, dugouts, buildings and
all of which shall be maintained and kept in good condition
the season. The Counts shall be responsible for general cl•

3. The Town shall be responsible for the enure
electric lightkig system, repairs and maintenance of wiring, and

to the season. The Counts shall be responsible for replacing
of any burned out lamps and damaged reflectors, and shall, at
end of season, leave the flood lamps and reflectors in as good
a condition as they were initially provided.
4. The Counts shall pay for all electric
power used during the season.
5. Police officers of the Town shall be
admitted without charge to any and all games. The Town will
provide police protection to the extent available. The Counts,
in addition, shall provide at all games, at least two police
officers acceptable to the Town, and under the Townfs super-
vision. The Counts may, in addition, employ a caretaker who
can be deputized as a special police for the Calfee Park, in
accordance with the legal requirements for special police.
Such police shall be acceptable to the Town, and his police
authority shall be under the ,supervision of the Town.
6. The Counts shall have all the rights
and privileges to use Calfee Park during the baseball season,
from about Aril 20th to September 15th, both for,praetice
and regular awes. For the use of the park, there shall be
paid weekly 10.00 for•each and every game, for which admission
is charged, except that in event there are two games on one day
and only one admission is charged, then only one park rental
will be charged. The regular rental shall be paid far every
game scheduled and advertized whether played or not.
7. This agreement is not to be considered
as providing the Counts the exclusive use of the park, as the
Town reserves the right and privilege to permit other athletic
activities to have use of the park upon making proper request
and obtaining permission from the Tern. The use of the field
by any other party, group or organization within 12 hours prior
to a scheduled game by the Counts shall first have approval
of the Counts. At any other time the Town may give any organized
athletic group permission to use the field or any part thereof.
Inasmuch as the Counts shall be responsible for the care of the
baseball diamond, mowing of grass, and electric bill, the Town
shall reimburse the Counts for this upkeep when the park is used
by other activities as follows:

or part thereof.
b. Any day use of the park for whicYr
admission is charged X10.00 per day or
part thereof.
The reimbursements to the Counts herein
provided shall be made only in those cases where the Counts
are responsible for the electric bill and for cleaning up
subsequent to such use by others.
The Counts shall be responsible for the
safekeeping of all its equipment, material and supplies of
every sort or nature which may be placed within or upon said
Calfee Park, and there shall be no liability upon the Town
by reason of the loss thereof or damage thereto by any cause
whatsoever.
This agreement shall be effective from date

Counts, Inc., has caused this agreement to be executed for and
on its behalf by Howard R. Imboden, its President and duly
