Council Minutes Pulaski, Virginia, May 2, 193 Pursuant to notice, copy of which is hereto attached and signed by all members of the Council of the Town of Pulaski, Virginia, the regular meeting of the Council of the Town of Pulaski, Virginia, was held at the Mayor's Office at 7:30 P. ~. on Tuesday, May 2, 1939. {` PRESENT PRESENT: Mayor E. Hall - Aye 3{ ti ~~40,000 V`dATER A RESOLUTION AND ORDINANCE TO PF~OVIDE FOR THE ISSUAiJCE 4~IORKS OF y~'ATER J`JORKS REFUNDING BONDS BY THE 'I'OVdN OF PULASKI, VIRGINI ~~~D~DING IN THE AMOUNT OF $40,000, FOR THE PURPOSE OF REFUNDING A LIKE A~{OUNT OF OUTSTANDING BONDS OF SAID TOFF?IV ISSUED FOR THE PURPOS OF ACG~UIRING AND ESTABLISHING A ~JATER 6^~ORKS, SAID BONDS BECOMI fi?UE flND AA3~ABLE JULY 1, 1939, AND PRESCRIBING THE FORM AND OTH DETAILS OF SAID REFUNDING BONDS AND PROVIDING FOR THE PAYMENT THEREOF: WHEREAS, the Town of Pulaski, Virginia, has outstanding valid indebtedness in the amount of X40,000, lawfully incurred for the purpose of establishing a water works for said Town, which indebtedness is pepresented by bonds bearing date July 1 1909, said bonds having been duly and regularly issued pursuant to lawful proceedings, and which said bonds are specifically recognized as valid in accordance with the 1936 Validating Act of the Code of Virginia, under Chapter 122 of said Code, sub-section X090 n; and, .. ... ~ _. 5s Council Minutes Cont. Pulaski, Virginia, i'Iday 2, 1939 WHEREAS, said bonds provided for the payment of `,five per centum interest per annum, payable semi-annually, from the date of said bonds; and, WHEREAS, all of the interest on said bonds has been fiil.ly paid except the final semi-annual payment of interest due July 1, 1939; and, WHEREAS said bonds will mature on July 1, 1939, and there are no funds in the Tovrn treasury for the payment thereof; and, WHEREAS, it is by this Town Council deemed necessary and expedient to issue water works refunding bonds of the Tov~m for the purpose of refunding said indebtedness. NOW, THEREFORE, BE IT RESOLVED AND ORDAINED BY THE TOWN COUNCIL OF THE TOWN OF PULASKI, VIRGINIA: Section 1. That there shall be issued water works refunding bonds of the Town of Pulaski, Virginia, in the amount of Forty Thousand 040,000.00) Dollars for the purpose of refunding a like amount of valid outstanding indebtedness of said Town represented by bonds heretofore lawfully issued undeE date of July 1, 1909, and maturing July 1, 1939. Said outstanding bonds having been issued for the purpose of establishing a water works for said Town. Section 2. That said water works refunding bonds shall be issued under date of July 1, 1939, bearing interest payable semi-annually at a rate not to exceed five per centum per annum, and shall be in the denomination of One Thousand 01,000) Dollars each, and two (2) bonds shall mature each on July 1, of each of the years 1940 to 1959, both inclusive. At maturity, all of said water works refunding bonds issued hereunder shall be payable to bearer at the Chase National Bank, in the City of New York and State of New YArk. Section 3. That said water works refunding bonds shall be signed by the Mayor of the Town of Pulaski, Virginia and attested by the Clerk of the Council of said Town under the seal of said Town, and shall be numbered 1 to 40, inclusive, and bonds numbered 1 and 2 shall mature July 1, 1940, and so on, ~7 Council Minutes Cant. Said water works refunding bonds shall be coupon ~} bonds, with the coupons attached to each bond,. providing for interest on that particular bond in accordance herewith,. said coupons also being payable to bearer at the Chase National Bank in the City of New York, State of New York, said coupons '. being payable on the 1st day of January and the 1st day of July of each year, as the case may be, as herein provided. Section 4. That in each year while any of the said water works refunding bonds shall be outstanding, there ~ ,~~', shall be levied upon alI of the taxable property not exempt ~ from the levy of taxes formerly levied for the payment of the bonds to be refunded, a tax sufficient in the amount to pay the interest on such bonds and the principal thereof, as the same respectively become due; provided, ho8ever, that said tax may be the same as the direct tax originally levied for the payment of the bonds to be refunded in order that no cha2ege in the nature of the obligation shall be effected by reason of the refunding thereof, and provided further that revenue derived from the water works of the Town of Pulaski may be used for the payment of the principal and interest of said bonds as the Council may deem expedient. Pulaski, Virginia, May 2, 1939 per centum per annul, payable se_ni-annually on the first days of January and July in each year, upon the presenta- tion and surrender of the annexed interest coupons as they severally become due. For the prompt payment hereof, both principal and interest as the same become due, the full faith, credit and resources of said Toafn are hereby irrevocably pledged. This bond is one of an issue of forty (40) bonds,.. of like date, amount and tenor, except as to maturities, aggregating ~~40,000, and is issued for the purpose of providing funds to pay a like amount of valid outstanding bonded indebtedness of said Town under the authority of and in full compliance with the Constitution and statutes of the State of Virginia, and the Charter of said Town, and pursuant to an order of the Circuit Court of Pulaski County, Virginia, authorizing the holding of and election of the qualified voters of said Town to vote on said bond issue, said order of said Court being dated the 4th day of June, 1908, and pursuant to a vote of a lawful majority of the qualified voters thereof at an election duly called, held on the 10th day of July, 1908, and ordinances duly adopted by the Town Council thereof. The said bonds to be retired all having been issued under date of July 1, 1909, and all maturing tai July 1, 1939, and said bonds having been issued for the purpose of establishing a water works for the Town of Pulaski, Virginia. It is hereby certified and recited that all acts, conditions and things required to exist or to be done precedent to and in the issuance of this bond by the laws and Constitution of the said State, have duly happened and been performed; that provision has been made for the levy and collection of a direct annual tax upon all the taxable property within said Town subject to taxation for this purpose sufficient to pay the interest and principal of this bond as the same shall become due; and that the total indebtedness of said Town, including this bond, does not exceed any constitutional or statutory limi- tation; and that said Town of Pulaski in issuing this refunding bond has complied with all requirements of Chapter 122 of the Code of Virginia, 1936, and The Nineteen Hundred and Thirty-six Validating Act approved ~.4arch 25, 1936, and set forth in the Code of Virginia, 1936, Chapter 122, Sections 3090 a - 3090 p, both inclusive. A~EFiICAN LEGION A committee from the Pulaski Post American Legion CARvIVAL appeared before the Council relative to holding a carnival sometime during the summer. In that no definite pl~~s or date had been fixed, no action was ts.ken. Gatewood, director of public works, submitted a detailed report and estimate of cost which, on motion duly made, seconded and unanimously passed, was ordered filed. FIRE Douthat, alleging that the boiler room of the Ulika Cleaning HALL-.RD ~ ADJOURN- plant was a fire hazard, after hearing attorneys representing the parties interested, it ws.s the sense of the Council that it was a matter to be heard by the i~a.yor in Police Court, and not by the Council.
