Qirginia, was held in the office of the Mayor E. i~. Calfee, Mareh 4, 1941, at 7:30 o'clock ~'. Vii. There were present, Messrs.: E. W. Calfee, Mayor Thos. J. Wanner F. A. Seagle J. E. Bunts T. L. James Glenn C. Hall A. T. Eskridge L. E. ~Vhitesell, Councilmen. There absent,: A. M. Bushong, Council®an. The meeting was called to order by the presiding MINUTES FRANCHISE officer, Mayor E. W. Calfee. The minutes of -the previous meeting were read and, upon motion duly seconded, approved. Mayor E. W. Calfee announced that the business before the meeting Was the consideration of an ordinance proposing to sell and grant a franchise for an electric light, heat and power transmission and distribution system in the Town of Pulaski, Virginia, and inviting bids therefor, and upon motion passed by a unanimous vote of the members of the Council, the following ordinance was passed: i 1 (cont~d) Council Minutes Contd. 229 Pulaski, Va., March 4, 1941. AN ORDINANCE PROPOSING TO SELL AND GRANT A FRANCHISE FOR AN ELECTRIC LIGHT, HEAT ADIfl POV~ER TRANS~CISSION AND DISTRIBIITION SYSTEi~ iN THE TOWN OF PULASKI, VIRGINIA, AND INVITING BIDS THEREFOR. BE IT ORDAINED BY THE COUNCIL OF THE TOV~N OF' PQI,ASKI, VIRGINIA: That a franchise granting permission for the eonstructiah, maintenance and operation of an electric light, heat and powe transmission and distribution system, with all rights incident thereto, on, along, over, upon and under-the streets and othd~r public places of the said town, subject to the conditions as hereinafter more specifically set forth, be and the same is ~~ ~ hereby proposed to be sold and that written bids addressed and delivered to the Mayor of said Town, are hereby invited and will be received for such franchise by the Council of ~, the Town of Pulaski, on the 15th day of April, 194, at Ten otclock A. ~., and upon the passage of this ordinance and its approval by the Mayor of said Town, the Clerk of the ~; ~~ ~; Council thereof is hereby directed to cause this ordinance k to be published once a week for four consecutive weeks in th~? ~, Southwest Times, a newspaper published in the Town of Pulask~ Virginia, prior to the said 15th day of April, 1941, the cost of said advertisement to be paid by the Town of Pulaski,~~ Virginia, which shall be reimbursed by the person or corpora- tion to whom the grant of such franchise is finally made, if made, but the right to reject any and all bids is hereby reserved by said Council. The said franchise proposed to be sold for which bids will be received on the day and hour aforesaid, and if sold, proposed to be granted, shall be substantially as follows: BE IT ORDAINED by the Town Council of the Town. of 't Pulaski, Pulaski County, State of Virginia, and it is hereby;:',, °; ordained by authority of the same that (cont~d) ~~~ Council Minutes Contd. SECTION I Pulaski, Via., 3~arch 4, 1941. ~ G4mpan , its successors,and assigns, herenafter_called:"Grahtee"}V, is hereby granted the right.,, privilege, .franchise and authority to .acquire, construct, maintain, and-operate in.;above, under, across and along the streets, thoroughfares; alle~rs bridges and public places, (as the same now exist or may hereafter be laid out), of the Toren of Pulaski,_Pulaski County; State of Virginia, lines for the distribution of~eiectric energy either by means of overhead or underground conductors, with all necessary or desirable appurtenances for the purpose of supplying electric energy to said Town and the inhabitants thereof and~per°sons or corporations beyond the limits thereof, for light; heat; power or any other purpose or purposes for which electric energy is now or may hereafter be used, and for the transmission of the same through. or across said Town. SECTION II Said lines and appurtenances shall be constructed sous to interfere as little as possible with the proper use of the streets, alleys and public places.. The location of all poles or conduits shall be made under the super- vision of the Committee on Streets of the Toren Council. In the. location and erection of the poles, conduits and other structures and fixtures and the stringing of wires, herein authorized, the said _.. - ., Company,.,.its successors or assgns_shal~.avoid ell unnecessary damage to shade trees -in and along the, streets, x3aeys and public places of said .Town, and shall not cut or _ otherwise i~~¢ure -said trees to any.. greater eateat than is necessary, in the ~udg~ne~at of the Committee on Streets of the Town Council. SECTION III. The rights, privileges and franchise hereby granted shall be in force and effect for a period of thirty,(30) years from the date of the passage of this ordinance. The rights, privileges and franchise hereby granted shall not be construed to be exclusive and the Council of said Town hereby reserves the right to grant similar rights, privileges and franchises to any other person or persons, firm or firms, corporation or corpora- tions. STCTTON IV The. granting of this franchise is made upon the express condition that the exercise of the same shall be subject to such regulations as may be adopted by the State Corporation Commission of Virginia or such other body upon which.. said State may hereafter confer regulatory powers over like corporations for the purpose of securing efficiency of public service at reasonable rates Prom said company, its successors and assigns, in said Town of Pulaski, and the maintenance of the property and works of said company in good order-throughout the term of this franchise. i (cont~d) Council Minutes Contd. Pulaski, Va., March 4, 1941 sect on V The Grantee spell indemnify and save harmless the Town "~ from any and all~c~aims for damages that may be asserted agains it by any persons, firms, or corporation whatever, arising from; the construction, operation, or maintenance.a-f the Granteets works, or out of the exercise of any right, privilege, or fr~nc~ise granted herein, or tho.-performance of any duty hereby. imposed, ~' and in the event any action or other proceeding shall be brough~ against the Town of Pulaski, either independently or-jointly with said .Grantee on account thereof, said Grantee upon notice o it by the Town, shall defend the Town in any such action or other. proceeding at the colt of said Grantee, and in the event f final ~udgrffent being obtainted against the Town, either indepen- ently or ~ointay with said Grantee, then the Grantee will pay said judgment with all interests and costs, and will hold the Town harmless therefrom;_but nothing herein contained shall be construed as recognizing vn the part of the Town or this Granted any claim or right of action growing out of .this- ordinance in ~' favor of .any third person. Section VI ~~ Whenever said Grantee shall begin the erection of any ~~° ]:fines or equipment it shall promptly and diligently prosecute '~' the work to completion and leave-the streets, alleys and public places where such work-js done in as good condition of repair as before! ~ wuch work eras commenced. Sect~,gn VII ~~ ~# Whenever, in this Ordinance, either the Town or the Grates is referred to, it sha1T be deemed to include the respective ~1 successors or assigns oP either and sIl rights, privileges and obligations herein contained by or on behalf of said Town or b or on behalf-of said Grantee, and shall bind and inure to the ~? benefit of the respective successors or assigns of said Town on of said Grantee, whether so expressed or not. ~~ Section VIII ~' qi The Grantee to-whom this right, privilege and franchise is awarded shall execute a bond wi th good and sufficient securi~ in favor of the Town of Pulaski, in the sum of One `thousand Dollars, 01,000.00), donditioned upon the construction and putting into operation and maintaining the equipment provided for in the right, privilege and franchise hereby granted. Section_SX In consideration of the benefits which in the ~txdgment of said Town will accrue to it by reason of the construction and operation of said electric light, heat and power system and as an inducement to said company proposing to construct, mainta and operate said system, the Town of Pulaski hereby agrees with said Company that no franchise or specific pole or wire tax sh 1 be imposed or charged against said company, its successors or a igns by said Town during the life of this franchise, but said Town o Pulaski hereby expressly reserves the right of assessing or ch ging any other valid tau of any other nature whether ad valorum or otherwise which is now suthor~,zed or which may be hereafter sut razed by the. general law~is of the ,Mate of Virginia, Section X T~iis ordinance shall be accepted by the Grantee wi sixty (60) days from the date of the passage of the same.
