There were present: Mayor Gary C. Hancock, presiding Council Members: James M. Neblett, J. R. Schrader, Jr., Mary Lou Copenhaver, James R. Neighbors, Andrew L. Graham, W. H. Schrader, Jr., Alma H. Holston, Ira S. Crawford Also Present: Frank Terwilliger, Town Attorney Anne Burgess, Interim Town Manager Ruth A. Harrell, Clerk Visitors: Dee Lindsey, Madelyn Rosenberg, Channel 10 of the News Media Hiawatha Nicely 28 citizens The invocation was given by Councilman Neblett. Mayor Hancock welcomed visitors to special meeting. He felt the announcement to be made would have a very significant impact on the Town in the years to come. Magnox Prior to the announcement, Hi Nicely, representing Magnox, Inc., requested that Council authorize a waiver on the existing UDAG grants now between the Town and Magnox. Magnox has started into a venture with a third party that will greatly enhance the employment ability of Magnox. Councilman Neblett so moved that reading of the resolution be waived, seconded by Councilwoman Copenhaver, and carried. Councilwoman Holston so moved that resolution in support of Corporate Restructing of Magnox Incorporated be adopted, seconded by Vice Mayor Neighbors and carried on the following recorded vote: James M. Crawford - Aye TOWN OF PULASKI, VIRGINIA RESOLUTION RESOLUTION ADOPTED IN SUPPORT OF CORPORATE RESTRUCTURING OF MAGNO% INCORPORATED WHEREAS, the officers of Magnox Pulaski Incorporated and Magnox Incorporated have advised the Town of Pulaski, Virginia of a proposed transaction whereby Mitsui Mining and Smelting Holdings (U.S.A.) Inc. ("Mitsui") will purchase, initially, a majority stock interest in Magnox Incorporated Pursuant to the terms of a Stock Purchase Agreement; and, 8649 November 27, 1989 WHEREAS, the proposed transaction will likely result in Magnox Incorporated gaining access to new markets now and in the future; and, WHEREAS, the proposed transaction will likely result in an expansion of facilities in the Town of Pulaski and the creating of new jobs in the Town of Pulaski; and, WHEREAS, Mitsui has arranged for Sovran Bank, N.A., to release Town UDAG funds from an existing pledge arrangement; and, WHEREAS, to facilitate the proposed transaction, the Town of Pulaski has been asked to show its support for and consent to the transaction; NOW, THEREFORE, BE IT RESOLVED, by the Town Council of the Town of Pulaski, Virginia, sitting in Special Session on November 27, 1989, that the town of Pulaski does hereby express its enthusiastic support for and consent to the proposed transaction among Magnox Incorporated, its stockholders and Mitsui; and, BE IT FURTHER RESOLVED that the Town of Pulaski should and hereby does extend its congratulations and best wishes to the companies and their officers as they enter into an undertaking that will benefit the parties and the Town of Pulaski, Virginia for years to come. THIS RESOLUTION is effective on adoption and is adopted this 27th day of November 1989, by recorded vote of the Town Council. Next on agenda was the appointment of a Town Manager for the Town of Pulaski. Mayor Hancock extended appreciation to Vice Mayor Neighbors and members of the Personnel Committee for their hard work and diligence in the selection process. HOLYCROSS personnel Committee Chairman Neighbors so moved that the Town APPT. Council of the Town of Pulaski, Virginia, appoint Donald E. Holycross, TOWN Jr. to serve as the Pulaski Town Manager. The appointment will become MGR. effective as of January 1, 1990, and his duties will commence on January 8, 1990. Motion seconded by Councilwoman Holston, and carried on the following recorded votes James M. Neblett - Aye Andrew L. Graham - Aye J. R. Schrader, Jr. - Aye W. H. Crawford - Aye At this time, Mayor Hancock gave a brief synopsis of Mr. Holycross' educational and managerial experience, and introduced him and his wife Lori to the citizens. Mr. Holycross stated he appreciated all the courtesies shown to him and Mrs. Holycross and was anxious to serve the residents of Pulaski. At 9:12 a.m. Councilman Neblett made a motion to adjourn, seconded by Vice Mayor Neighbors, and carried.
